In the present study, the author Emílio Duque Bugs discusses the need for holding, by limited liability partnerships and corporations, of an annual meeting between the partners or shareholders. Though the Commercial Registry does not establish a penalty for the non presentation of the annual deliberation, the lack of information can be object of discussion before third parties and minority partners / shareholders that cannot analyze and deliberate the accounts and profit of a specific Company. The article also relates to the obligation to provide financial and economic details to the Central Bank of Brazil by the Brazilian companies with foreign investor interest in its capital and branches of foreign Companies authorized to operate in Brazil.
